The agreement

These terms are between Codeyv (“we”) and the business that subscribes to OrderBabu (“you”). Using the service means accepting them.

What the service does

We read order slips your retailers send you and prepare them as entries for your accounting software. The service is an assistant, not an accountant: every order is presented for you to check before it is confirmed, and what you confirm is what is written.

Messaging on WhatsApp

Orders reach us because a retailer messages the distributor’s own WhatsApp Business number. What we send back on that number — an acknowledgement that the order arrived, a confirmation once it is accepted, a rejection with your reason, or an answer when a retailer asks about their order — is a transactional reply to that retailer’s own message, sent from your number and subject to Meta’s WhatsApp Business Messaging Policy. We do not send marketing messages and we do not broadcast. A distributor can switch automatic replies off entirely in their settings.

What you are responsible for

Checking orders before confirming them. We flag what we could not read rather than guessing, but the confirmation is yours.
Your tax settings. The sale type that decides GST on every exported bill is yours to set and yours to confirm. We will not export while it is unset, but we cannot know whether the rate you chose is right for your goods.
Your own masters. Item names, party names and invoice series are yours; we match against them and do not invent them.
Telling your retailers that messages sent to your business number are processed to create orders.

Plans, orders and payment

Each plan includes a number of orders per calendar month, shown on the pricing page and in your dashboard. Going past it does not stop your orders being read — we will contact you about moving to the next plan. Subscriptions are billed monthly in advance through Razorpay. Prices exclude GST unless stated otherwise.

Cancelling

You may cancel at any time, effective at the end of the paid month. Your orders remain exportable to your accounting software from the dashboard, and a full copy of your account can be requested from the grievance officer, until the account is erased. There is no lock-in and no cancellation fee.

Availability

We aim to keep the service running at all times but do not promise uninterrupted availability. Planned maintenance will be notified in the dashboard. Where a message cannot be processed, it is recorded as failed and can be retried rather than silently dropped.

Limits of liability

We are not liable for indirect or consequential loss. Our total liability in any twelve-month period is limited to the subscription fees you paid in that period. Nothing in these terms limits liability that cannot be limited under Indian law.

Suspension

We may suspend an account for non-payment, or for use that endangers the service or breaks the law. Except where the law requires otherwise, we will tell you first and give you a chance to put it right.

Governing law

These terms are governed by the laws of India, and the courts at the location of our registered office have exclusive jurisdiction.
